Public Offer (Public Offer Agreement / Terms of Service)

This Agreement is a public offer (public proposal agreement) in accordance with Article 633 of the Civil Code of Ukraine and contains identical terms and conditions for all Buyers. Full acceptance of this Agreement is carried out by accepting the offer and means the Buyer’s complete and unconditional acceptance of all its terms.

(hereinafter referred to as the “Seller”)

1. General Provisions

1.1. This Agreement governs the relationship regarding the sale of digital products remotely via the Online Store.

1.2. Acceptance of this offer (conclusion of the Agreement) is considered to be any of the following actions by the Buyer:

placing an order in the Online Store;
payment for the Product (full or partial);
checking the box “I agree with the terms of the Public Offer”;
registration of a personal account.

1.3. By entering into this Agreement, the Buyer confirms that they are 18 years of age or older, have fully read and understood the terms of the Agreement, agree to them without reservations, and also consent to the processing of their personal data on the terms set forth in this Agreement.

2. Terms and Definitions

Product — a digital file (PDF and/or PLT format) offered for sale in the Online Store.
Online Store — the website https://alikadesigns.com/.
Personal Data — any information relating to an identified or identifiable natural person.

3. Subject of the Agreement

3.1. The Seller undertakes to provide the Buyer with the ordered digital Product in electronic form, and the Buyer undertakes to pay for and accept the Product under the terms of this Agreement.

3.2. The Product is provided exclusively in electronic (digital) form. The Seller does not print or deliver physical copies.

3.3. The characteristics of the Product (name, article number, format, price, scale, etc.) are indicated on the Product page in the Online Store. The Buyer has the right to contact the Seller for additional clarifications before purchase.

4. Procedure for Placing an Order

4.1. An order can be placed:

independently via the website (by clicking the “Add to Cart” button);
through messengers (Telegram, Viber, Instagram Direct, Facebook).

4.2. The Buyer bears full responsibility for the accuracy and correctness of the data provided when placing an order.

4.3. After payment of the order, the Seller sends the Product within 1 business day (unless another term is agreed upon).

5. Price and Payment Procedure

5.1. Prices are indicated on the website and include VAT (if the Seller is a VAT payer).

5.2. The Seller has the right to change prices unilaterally. Price changes do not apply to orders that have already been paid for.

5.3. Payment is made in Ukrainian hryvnia (UAH):

to the Seller’s Sole Proprietor (FOP) bank account;
through payment systems integrated on the website.

5.4. 100% prepayment is required. After payment, the Product is considered custom-made (made-to-order) and is non-refundable.

6. Procedure for Delivery of the Product

6.1. After confirmation of payment, the Product appears in the Buyer’s Personal Account for download or is sent to the email address / messenger specified during the order.

6.2. The Buyer must immediately check the quality and compliance of the file with the order upon receipt.

6.3. In case of technical issues (file does not open, is corrupted, etc.), the Buyer must notify the Seller within 24 hours after receipt, providing screenshots/video evidence, to al**************@***il.com or via Instagram Direct.

6.4. The Seller reviews the request within 5 business days. If the defects are confirmed, the Seller will replace the file or refund the payment.

6.5. If the Buyer does not contact the Seller within the period specified in clause 6.3, the Product is considered accepted as being of proper quality.

7. Rights and Obligations of the Parties

The Buyer is obliged to:

pay for the Product;
download the file independently;
not distribute the Product to third parties.

The Seller is obliged to:

provide the Product in the agreed format;
ensure the availability of the file for at least 30 days from the date of payment.

The Seller has the right to:

refuse to sell without giving reasons;
suspend access to the Product in case of violation of the Agreement terms.

8. Intellectual Property Rights

8.1. All intellectual property rights to the Product (patterns) belong to the Seller.

8.2. By purchasing the Product, the Buyer receives a non-exclusive, non-transferable, non-sublicensable license to use the Product.

8.3. The Buyer is permitted to:

use the Product for sewing garments for both personal and commercial purposes (manufacturing and selling finished garments);

8.4. The Buyer is strictly prohibited from:

copying, distributing, publishing, selling, sharing or granting access to the Product files to third parties;
editing, modifying or altering the Product files (PDF and PLT);
using the Product to create and sell similar designs or sewing patterns.
removing copyright notices, logos or author information;

8.5. When using the Product for commercial purposes (production of garments for sale), the Buyer must indicate the authorship of the patterns, for example: «Patterns by alikadesigns.com» or «Design by alikadesigns.com» or «Patterns by Alika Designs» or «Design by Alika Designs»

8.6. In case of violation of intellectual property rights, the Buyer shall pay a fine of 50,000 UAH for each violation and compensate all damages and lost profits.

9. Refund and Refusal of the Product

9.1. Digital products of proper quality are non-refundable and non-exchangeable (in accordance with the legislation of Ukraine regarding digital content).

9.2. Refunds are made only if the Seller failed to provide a file of proper quality within the agreed period or confirmed the presence of defects.

10. Personal Data Processing

10.1. The Buyer consents to the processing of their personal data for the purpose of fulfilling the Agreement, making payments, sending order information, and marketing communications.

10.2. The Buyer may withdraw consent by sending a request to al**************@***il.com. Withdrawal of consent results in the impossibility of further service.

11. Liability of the Parties

11.1. The Parties shall be liable in accordance with the current legislation of Ukraine.

11.2. The Seller is not liable for the inability to open the file on the Buyer’s devices if the file meets the technical requirements specified on the website.

11.3. The Seller is not liable for the actions of third parties (payment systems, hosting providers, internet providers, etc.).

12. Other Terms

12.1. The Seller reserves the right to make changes to this Offer. The new version is published on the website at https://alikadesigns.com/public-offer/. Continued use of the website after changes constitutes the Buyer’s acceptance of the new terms.

12.2. All disputes shall be resolved through negotiations. If no agreement is reached, disputes shall be resolved in court at the place of registration of the Seller or in accordance with consumer protection legislation.

12.3. Any matters not regulated by this Agreement shall be governed by the current legislation of Ukraine.
